<br />for such inability occasioned by the act, or failure to act, of Owner), change in <br /> <br />governmental regulations, or similar acts which are beyond Owner's reasonable <br /> <br />ability to control; however, Owner shall be obligated to perform or comply within a <br /> <br />reasonable time after the event or action which precluded Owner from timely <br /> <br />performance no longer exists. <br /> <br />12. <br /> <br />INDEPENDENT CONTRACTOR. Neither Owner nor any of Owner's <br /> <br />agents or contractors are agents or employees of the City of Redwood City in <br /> <br />connection with the performance of Owner's obligations under this Agreement. <br /> <br />13. <br /> <br />ASSIGNABILITY. Owner may assign this agreement subject to City's <br /> <br />approval, which City shall not unreasonably withhold. This Agreement is binding <br /> <br />upon and inures to the benefit of the respective assigns, heirs, successors and legal <br /> <br />representatives of the parties. <br /> <br />14. <br /> <br />NOTICE. <br /> <br />a) <br /> <br />All notices, demands and requests under this Agreement that <br /> <br />may be given or made by any party to the other parties must be in writing and <br /> <br />must be given in one or more of the following ways: <br /> <br />(i) <br /> <br />Personal service; <br /> <br />(ii) <br /> <br />Telegram; <br /> <br />(iii) <br /> <br />Express Mail, Federal Express, DHL, UPS, or other similar <br /> <br />form of airborne/overnight delivery service; or <br /> <br />(iv) <br /> <br />First class certified mail postage prepaid. <br /> <br />-8- <br />
