LANDSCAPING AGREEMENT RECITALS TIús Landscaping Agreement (" Agreement") is made and entered into as of this 30 day of June , 1997, by and between Shorebreeze Associates, LLC, a Delaware linúted liability company ("Shorebreeze") Flatirons Funding, Limited Partnership, a Delaware limited partnership ("Flatirons"), and Electronic Arts Redwood, Inc., a Delaware corporation ("EAR"). A. Concurrently with the recording of this Agreement, Flatirons has conveyed to EAR, certain land located in the City of Redwood City, California, described on Exhibit A attached hereto ("Parcel B"), and EAR has conveyed Parcel B to Shorebreeze pursuant to that certain Agreement Regarding Transfer of Land between Shorebreeze, EAR and Flatirons, dated as of ~ ~ 1997 (the "Transfer Agreement"). June B. Flatirons is the owner of certain real property located near to Parcel B, described in Exhibit B attached hereto ("Flatirons' Property"). Shorebreeze owns certain real property adjacent to Parcel B, described on Exhibit C hereto (the "Shorebreeze Property"). C. In connection with the transfer of Parcel B to Shorebreeze, Shorebreeze has agreed to enter into certain covenants regarding the installation and maintenance of landscaping on Parcel B, as set forth below. NOW TIIEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: .. 1
