<br />DES:djY 17/07/98 <br /> <br />(013/70) <br /> <br />obtain materials <br /> <br />(except <br /> <br />for <br /> <br />such <br /> <br />inability <br /> <br />occasioned by <br /> <br />the <br /> <br />act, <br /> <br />or <br /> <br />failure <br /> <br />to <br /> <br />act, <br /> <br />of <br /> <br />Owner) , <br /> <br />change <br /> <br />in <br /> <br />governmental <br /> <br />regulations, or similar acts which are beyond Owner's reasonable <br /> <br />ability to control; however, Owner shall be obligated to perform <br /> <br />or <br /> <br />comply wi thin <br /> <br />a <br /> <br />reasonable <br /> <br />time <br /> <br />after <br /> <br />the <br /> <br />event or <br /> <br />action <br /> <br />which precluded Owner from timely performance no longer exists. <br /> <br />12. <br /> <br />INDEPENDENT CONTRACTOR. <br /> <br />It is mutually understood and <br /> <br />agreed <br /> <br />that <br /> <br />neither <br /> <br />Owner <br /> <br />nor <br /> <br />any <br /> <br />of <br /> <br />Owner's <br /> <br />agents <br /> <br />or <br /> <br />contractors <br /> <br />are, <br /> <br />or <br /> <br />shall <br /> <br />be, <br /> <br />considered <br /> <br />to <br /> <br />be <br /> <br />agents <br /> <br />or <br /> <br />employees <br /> <br />of <br /> <br />the <br /> <br />Ci ty of <br /> <br />Redwood City <br /> <br />in <br /> <br />connection with the <br /> <br />performance of Owner's obligations under this Agreement. <br /> <br />13. <br /> <br />OFF-SITE <br /> <br />AGREEMENT. <br /> <br />City <br /> <br />and <br /> <br />Owner <br /> <br />agree <br /> <br />that <br /> <br />the <br /> <br /> <br />issuance of building permits <br /> <br />(wood framing, <br /> <br />rough plumbing and <br /> <br />rough electrical), <br /> <br />subsequent to the issuance of the foundation <br /> <br />permits, be conditioned upon Owner's prior execution of traffic <br /> <br />mitigation <br /> <br />agreement <br /> <br />substantially <br /> <br />in <br /> <br />the <br /> <br />form <br /> <br />previously <br /> <br />reviewed by City and Owner (for the "Off-Site Agreement") , except <br /> <br />that the Off-Site Agreement will <br /> <br />also reflect that: <br /> <br />(1 ) <br /> <br />Owner <br /> <br />will pay, upon execution of the Off-Site Agreement the sum of Two <br /> <br />Hundred Twenty Thousand and No/100 Dollars <br /> <br />($220,000.00), which <br /> <br />sum <br /> <br />represents <br /> <br />6% <br /> <br />of <br /> <br />the <br /> <br />previously <br /> <br />estimated <br /> <br />cost <br /> <br />for <br /> <br />the <br /> <br />construction of the off-site roadway improvements for the Road in <br /> <br />which estimate did not take <br /> <br />into <br /> <br />consideration the <br /> <br />force main <br /> <br />owned <br /> <br />and <br /> <br />operated <br /> <br />by <br /> <br />the <br /> <br />South <br /> <br />Bayside <br /> <br />System <br /> <br />Authority <br /> <br />( "SBSA" ) ; <br /> <br />(2) Owner will pay, upon completion of the engineering <br /> <br />estimate, <br /> <br />6% <br /> <br />of <br /> <br />any <br /> <br />additional <br /> <br />costs <br /> <br />reflected <br /> <br />in <br /> <br />the <br /> <br />final <br /> <br />10 <br /> <br />
