<br />which encumbered certain real property owned by Flatirons and described in Exhibit <br /> <br />J to the Development Agreement (the "Property"). <br /> <br />B. <br /> <br />On the date of recordation of the Development Agreement, Redwood <br /> <br />Shores, Inc. ("RSI"), was the owner of three common area lots (the "Old Common <br /> <br />Area Lots") which were not encumbered by the Development Agreement. <br /> <br />Subsequent to the recordation of the Development Agreement, RSI conveyed the <br /> <br />Old Common Area Lots to the Shores Business Center Association (the <br /> <br />" Association"). <br /> <br />c. <br /> <br />On February 10, 1997, the City approved a final subdivision map (the <br /> <br />"Final Map") for the Property and the Old Common Area Lots which was filed for <br /> <br />record in the official records of San Mateo County on March 27, 1997 in Maps, <br /> <br /> <br />Volume 27, pages 86-89. Upon the recordation of the Final Map, the Property and <br /> <br />the Old Common Area Lots were resubdivided into 14 parcels, of which five parcels <br /> <br />(Lots A through E as shown on the Final Map) were new common area lots (the <br /> <br />"New Common Area Lots") replacing the Old Common Area Lots. Concurrently <br /> <br />with recordation of the Final Map, the Association conveyed the Old Common Area <br /> <br />Lots to Flatirons, and Flatirons conveyed the New Common Area Lots to the <br /> <br /> <br />Association so that the ownership of each corresponded to the resubdivision of the <br /> <br />Property. <br /> <br />D. <br /> <br />On Apri115, 1998, the City, Flatirons, and Electronic Arts entered into <br /> <br />the First Amendment to Development Agreement (the "First Amendment") dated <br /> <br />Apri115, 1998, recorded on Apri115, 1998 as Document No. 98-054809 in the Official <br /> <br />-2- <br /> <br />2DAAMND8.DOC <br />
