<br />8. <br /> <br />No Cross-Default. <br /> <br />(a) <br /> <br />Each owner of a parcel or parcels encumbered by the Amended <br /> <br />Development Agreement is responsible for the duties, obligations and liabilities <br /> <br />imposed by the Amended Development Agreement on such parcel or parcels, <br /> <br />including without limitation completion of all on-site improvements in <br /> <br />conformance with the requirements of the Amended Development Agreement. <br /> <br />However, the default by such owner with respect to the performance of that owner's <br /> <br />duties, obligations and liabilities hereunder respecting the parcel or parcels owned <br /> <br />by that owner does not constitute a default by any other owner of another parcel or <br /> <br />parcels encumbered by the Amended Development Agreement with respect to the <br /> <br />performance of that other owner's duties, obligations and liabilities hereunder <br /> <br />respecting the other parcel or parcels owned by that other owner. <br /> <br />(b) <br /> <br />Nothing in this Section 8 alters the obligations of Flatirons under <br /> <br /> <br />Section 8 of the Development Agreement ("Section 8") or under the Agreement for <br /> <br />Improvement of Electronic Arts Subdivision by and between the City and Flatirons <br /> <br />dated March 18, 1997 and recorded in the Official Records of San Mateo County as <br /> <br />Document No. 97-034599 on March 27, 1997 (the "Subdivision Improvement <br /> <br />Agreement"); no other owner of a parcel or parcels encumbered by the Amended <br /> <br />Development Agreement has any obligations under Section 8 or the Subdivision <br /> <br />Improvement Agreement; and the default of Flatirons under Section 8 or the <br /> <br />Subdivision Improvement Agreement is not a default of any other owner under the <br /> <br />Amended Development Agreement. <br /> <br />-9- <br /> <br />2DAAMND8.DOC <br />
