<br />DES:djk f)1/24/97 <br /> <br />(027a/70) <br /> <br />obligated to perform or comply within a reasonable time after the <br /> <br />event or action which precluded Owner from timely performance no <br /> <br />longer exists. <br /> <br />12. <br /> <br />INDEPENDENT CONTRACTOR. <br /> <br />It is mutually understood and <br /> <br />agreed <br /> <br />that <br /> <br />neither <br /> <br />Owner <br /> <br />nor <br /> <br />any <br /> <br />of <br /> <br />Owner's <br /> <br />agents <br /> <br />or <br /> <br />contractors <br /> <br />are, <br /> <br />or <br /> <br />shall <br /> <br />be, <br /> <br />considered <br /> <br />to <br /> <br />be <br /> <br />agents <br /> <br />or <br /> <br />employees <br /> <br />of <br /> <br />the City of <br /> <br />Redwood City <br /> <br />in connection with <br /> <br />the <br /> <br />performance of Owner's obligations under this Agreement. <br /> <br />13. <br /> <br />ASSIGNABILITY. <br /> <br />This Agreement shall <br /> <br />inure <br /> <br />to and be <br /> <br />binding <br /> <br />on <br /> <br />the <br /> <br />successors, <br /> <br />assigns <br /> <br />and <br /> <br />heirs <br /> <br />of <br /> <br />the <br /> <br />parties <br /> <br />hereto. <br /> <br />Owner <br /> <br />may <br /> <br />assign <br /> <br />this <br /> <br />Agreement <br /> <br />subject <br /> <br />to <br /> <br />City's <br /> <br />approval, which shall not be unreasonably withheld. <br /> <br />City <br /> <br />understands <br /> <br />and <br /> <br />acknowledges <br /> <br />that <br /> <br />Owner <br /> <br />intends <br /> <br />to <br /> <br />to M. J . <br /> <br />Brock & Sons, <br /> <br />Inc., <br /> <br />a Delaware corporation, <br /> <br />dba Ryland <br /> <br /> <br />assign its rights, interests and obligations under this Agreement <br /> <br />Homes Bay Area Division <br /> <br />("Ryland") . <br /> <br />Ci ty hereby agrees to and <br /> <br />approves <br /> <br />of <br /> <br />such <br /> <br />assignment <br /> <br />by <br /> <br />Owner <br /> <br />to <br /> <br />Ryland. <br /> <br />Upon <br /> <br />such <br /> <br />assignment under this Section 13, Redwood Shores Properties shall <br /> <br />be relieved from any of its obligations under this Agreement and <br /> <br />Ryland shall assume all of the Redwood Shores Properties' rights, <br /> <br />interests, duties and obligation under this Agreement. <br /> <br />Notwithstanding the assignment that is to occur as set forth <br /> <br />in this Paragraph 13, Ryland is executing this Agreement as co- <br /> <br />obligor <br /> <br />with <br /> <br />Owner; <br /> <br />Ryland <br /> <br />is <br /> <br />providing <br /> <br />the <br /> <br />insurance <br /> <br />and <br /> <br />security bonds; and, Ryland is the Principal under the bonds. <br /> <br />II <br />II <br /> <br />9 <br />
