This boundary line agreement ("Agreement") is entered into between the City of Redwood <br />City ("City"), a public body, corporate and politic, and Chevron USA Inc., a Pennsylvania <br />corporation ("Chevron USA Inc.") (Collectively, the "Parties"), to fix and establish the boundary <br />between certain property owned by the City and certain adjoining property owned by Chevron USA <br />Inc. The Agreement is dated for reference as of January 3 1 , 2019. <br />RECITALS: <br />A. This Agreement concerns adjoining parcels of land situated in the City. The City <br />claims ownership of that property having the address of 707-777 Bradford Street and comprising <br />Assessor's Parcel Numbers ("APN") 052-372-240, 052-372-200, and 052-372-170, ("City <br />Property"), as more particularly described in Exhibit A, and Chevron USA Inc. claims ownership of <br />that property having the address of 990 Veterans Boulevard and comprising APN 052-372-160 <br />("Chevron USA Inc. Property"), as more particularly described in Exhibit B. <br />B. The Parties wish to fix and establish the common boundary between the CityProperty <br />and the Chevron USA Inc. Property. The precise location of the common boundary is subject to <br />uncertainty due to several factors, including historic filling of portions of the City Property, creating <br />uncertainty as to that portion of the common boundary defined by the location of the bank of <br />Redwood Creek; a fence situated on the properties, the line of which diverges in part from the line of <br />the former bank of Redwood Creek described in Chevron USA Inc.'s deed; and the City's <br />longstanding possession, use and occupation of the property on its side of the fence line. <br />C. The Parties therefore consider it expedient, necessary and desirable to permanently <br />fix, establish, and forever set to rest any and all questions relating to the location of the common <br />boundary between the City Property and the Chevron USA Inc. Property. This Agreement <br />permanently fixes and establishes the common boundary line along the metes and bounds described <br />in the deed to Chevron USA Inc., which boundary also conforms to the common boundaries of the <br />affected Assessor's Parcels. <br />D. Because the City Property was acquired by the City, in whole or in part, through a <br />statutory grant by the State of California ("State"), the obligations of the Parties to close escrow <br />under this Agreement are conditioned on the deposit into escrow of a quitclaim deed from the State <br />Lands Commission ("Commission") quitclaiming to Chevron USA Inc. all of the State's right, title <br />and interest in the Chevron USA Inc. Property on the Chevron USA Inc. Property side of the Agreed <br />Boundary Line (as defined below). <br />NOW, THEREFORE, in consideration of the foregoing recitals and the following terms <br />contained in the Agreement, the Parties mutually agree as follows: <br />AGREEMENT <br />Agreed Boundary Line. <br />The Parties agree that boundary line between the City Property and the Chevron USA Inc. <br />Property ("Agreed Boundary Line") shall be as described in Exhibit C and depicted for illustrative <br />purposes on Exhibit D.
