The City shall deposit the following documents: <br />(1) A certified copy of a resolution of the City approving this Agreement and <br />authorizing its execution on the City's behalf; <br />(2) A counterpart of this Agreement, duly executed by City and duly <br />acknowledged; <br />(3) A duly executed and acknowledged quitclaim deed substantially in the form of <br />Exhibit E, quitclaiming to Chevron USA Inc. all of the City's right, title and interest in the Chevron <br />USA Inc. Property, excepting only those interests of the City that are matters of public record; and <br />B. Deposits by Chevron USA Inc. <br />Chevron USA hic. shall deposit the following documents: <br />(1) A counterpart of this Agreement, duly executed by Chevron USA Inc. and <br />duly acknowledged; and <br />(2) A duly executed and acknowledged quitclaim deed substantially in the form of <br />Exhibit F, quitclaiming to City of Chevron USA Inc.'s right, title and interest in the City Property on <br />the City Property side of the Agreed Boundary Line. <br />C. Other <br />The Parties shall cause to be deposited the following document: <br />(1) A quitclaim deed in substantially the form of Exhibit G, by which the <br />Commission quitclaims to Chevron USA Inc. all of the State's right, title and interest in the Chevron <br />USA Inc. Property, excepting any State tax liens. <br />9. Conditions Precedent to Closing <br />Each Party's obligation to close escrow shall be conditioned on: <br />A. Receipt into escrow of all of the documents listed in paragraph 8 required to <br />be deposited by the other Party; and <br />B. Receipt into escrow of the document listed in paragraph 8(C). <br />10. Close of Escrow; Recording. <br />Upon satisfaction of all of the closing conditions in paragraph 9 and the receipt of all the <br />documents listed in paragraph 8, the Title Company, if it has not received a written objection by a <br />Party hereto to the closing of escrow, shall notify the Parties of its intention to close escrow and to <br />record this Agreement and the deeds placed in escrow and shall set a date certain for such <br />recordation and closing.
