REV: 03-29-2022 VR <br />FIRST AMENDMENT TO <br />REVOCABLE LICENSE AGREEMENT <br />BETWEEN THE CITY OF REDWOOD CITY <br />AND REDWOOD CITY KIWANIS CLUB <br />FOR A FARMERS MARKET IN THE VICINITY OF <br />ARGUELLO STREET AND BRADFORD STREET <br />This FIRST AMENDMENT TO REVOCABLE LICENSE AGREEMENT <br />(“Amendment”) is made and entered into as of _____________, 2022, by and between <br />the CITY OF REDWOOD CITY (“City”), a charter city and municipal corporation, and <br />REDWOOD CITY KIWANIS FOUNDATION (“Licensee”), a California non-profit <br />corporation. City and Licensee are collectively referred to herein as the “Parties”. <br />RECITALS <br />A. On April 9, 2019, the City and Licensee entered into a Revocable License <br />Agreement Between the City of Redwood City and Redwood City Kiwanis Club for a <br />Farmers Market in the Arguello Street and Bradford Street (“Original Agreement”), <br />setting forth terms and conditions relating to operation of the farmers market. <br />Capitalized terms used herein and not otherwise defined shall have the meanings given <br />to such terms in the Original Agreement. <br />B. The term of the Original Agreement is set to expire on April 8, 2022, and <br />the Original Agreement provides that the revocable license may be renewed for up to <br />two (2) additional one-year terms. <br />C. The Parties now desire to amend the Original Agreement to provide for <br />the first Renewed Term, as set forth below. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the foregoing recitals and for other good <br />and valuable consideration, the Parties hereby agree as follows: <br />1. Renewed Term. Effective on April 9, 2022, the Original Agreement is <br />hereby renewed for the first Renewed Term of one year through April 8, 2023 (“First <br />Renewed Term”) on the terms provided in Section 4 (Term of License) of the Original <br />Agreement. Any and all references to Term in the Original Agreement shall mean the <br />First Renewed Term. <br />2. Ratification. Except as amended by this Amendment, the Original <br />Agreement remains unmodified and in full force and effect in accordance with its terms. <br />3. Entire Agreement. The Original Agreement, as amended by this <br />Amendment, contains the entire and final agreement between the Parties and <br />supersedes all other agreements, oral or otherwise, regarding the subject matter hereof. <br />ATTY/AGR.2022-Amend No. 1/Kiwanis Club (Page 1 of 2) <br />April 7
