REV: 03-02-23 JB <br />SECOND AMENDMENT <br />TO REVOCABLE LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD <br />CITY AND REDWOOD CITY KIWANIS CLUB <br />FOR A FARMERS MARKET IN THE VICINITY OF ARGUELLO STREET AND <br />BRADFORD STREET <br />This SECOND AMENDMENT TO REVOCABLE LICENSE AGREEMENT dated <br />April 9, 2019 (“Amendment No. 2”) is made and entered into and effective as of <br />________________, 2023, by and between the CITY OF REDWOOD CITY, a charter <br />city and municipal corporation of the State of California (“City”), and REDWOOD CITY <br />KIWANIS FOUNDATION, ALSO KNOWN AS REDWOOD CITY KIWANIS CLUB <br />(“Licensee”), a California non-profit corporation (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Revocable License Agreement <br />between the City of Redwood City and Redwood City Kiwanis Club for a Farmers Market <br />in the Vicinity of Arguello Street and Bradford Street, dated as of April 9, 2019, (the <br />“Original Agreement”), setting forth terms and conditions relating to operation of the <br />farmers market. Capitalized terms used herein and not otherwise defined shall have the <br />meanings given to such terms in the Original Agreement. <br />B. The Parties previously executed First Amendment to the Original <br />Agreement (“Amendment No. 1”), dated as of April 7, 2022 to extend the term of the <br />Agreement for one additional year. (the “Original Agreement” and “Amendment No. 1” are <br />collectively known as the “Agreement”) <br />C. The term of the Agreement is set to expire on April 9, 2023, and the <br />Agreement provides that it may be renewed for up to one additional (1) additional one- <br />year term. <br />D. The Parties now desire to amend the Original Agreement to provide for the <br />second Renewed Term, as set forth below. <br />AGREEMENT <br />NOW, THEREFORE, in consideration of the foregoing recitals and for other good <br />and valuable consideration, the Parties hereby agree as follows: <br />1. Renewed Term. Effective on April 9, 2023, the Agreement is hereby <br />renewed for the second Renewed Term of one year through April 8, 2024 (“Second <br />Renewed Term”) on the terms provided in Section 4 (Term of License) of the Original <br />Agreement.
