pedestrian areas. Licensee shall not commit, suffer or permit any waste on the
<br />Farmers' Market Area. At the end of the market day, Licensee shall remove, or cause
<br />to be removed, all produce and other market products, debris, rubbish, boxes, booths,
<br />stands, structures and materials of any sort resulting from the use of the Farmers'
<br />Market Area and shall leave the Farmers' Market Area in a clean, safe condition.
<br />14. Traffic Control Plan. Concurrent with execution of this Agreement, Licensee
<br />has submitted a traffic control plan or entry and exit plan to the farmers' market showing
<br />ingress, egress, delivery routes, and parking as set forth in Exhibit C ("Traffic Control
<br />Plan") attached hereto and incorporated by reference. Licensee shall, at its sole costs
<br />and expense, ensure compliance with the Traffic Control Plan throughout the Term of
<br />this Agreement. Such Traffic Control Plan may be modified from time to time as City
<br />may determine in the best interest of the public.
<br />15. Event List. Concurrent with execution of this Agreement, Licensee has
<br />submitted a list of farmers' market events, including the date, duration, description, and
<br />estimated attendance ("Event List"). Licensee shall, on a quarterly basis, submit an
<br />updated Event List to City providing actual operations figures for the preceding quarter
<br />and estimated future expectations. The updated Event List shall be submitted to City on
<br />July 15, October 15, January 15, and April 15 of each year.
<br />16. Concurrent with execution of this Agreement, Licensee shall submit a copy of
<br />any required permits from San Mateo County Agriculture/ Weights and Measures.
<br />17. Vendor List. Concurrent with execution of this Agreement, Licensee has
<br />submitted a list of vendors expected to be participating in the farmers' market events,
<br />including the name, address, contact information, items to be sold, and the minimum
<br />number of vendors to participate at each farmers' market event ("Vendor List").
<br />Licensee shall, on a quarterly basis, submit an updated Vendor List to City providing
<br />actual operational figures for the preceding quarter and estimated future expectations
<br />for the following quarter. The updated Vendor List shall be submitted to City on July 15,
<br />October 15, January 15, and April 15 of each year. In lieu of the Vendor List, the
<br />Licensee may submit a copy of the vendor report submitted on a quarterly basis to San
<br />Mateo County Agriculture/ Weights, and Measures.
<br />18. Termination; Suspension. This Agreement may be terminated and the
<br />license revoked by the City Manager or Licensee for convenience and with or without
<br />cause upon ninety (90) days advance written notice to the other party. Notwithstanding
<br />the foregoing to the contrary, City may, in the sole and absolute discretion of the City
<br />Manager, terminate or suspend this Agreement on shorter notice as follows:
<br />a. Immediately, City may, in the sole and absolute discretion of the City
<br />Manager, terminate this Agreement if (i) Licensee discontinues or abandons operations;
<br />(ii) Licensee is adjudged bankrupt or is reorganized under any bankruptcy law; (iii)
<br />Licensee fails to keep in force any required insurance policies or bonds; or (iv) Licensee
<br />fails to comply with any Section or part of this Agreement.
