ORIGINAL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES Alta Planning + Design, Inc. This Amendment No. 1 ("Amendment No. 1") is entered into and effective as of "CNeVAInPC \`t� , 2019, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Alta Planning + Design, Inc., a California corporation ("Consultant") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain Agreement for Professional Services, dated as of April, 11, 2019, (the "Original Agreement'). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. Specifically, the City desires to authorize, and Consultant desire to complete, the Optional task in the Original Agreement of designing intersection improvements at Jefferson Avenue and Clinton Street. C. The City Council authorized the City Manager to execute an amendment for the Optional Task in an amount up to $25,000. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit A, attached hereto and incorporated by reference, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant on a time and materials basis a not -to -exceed amount of Twenty Five Thousand Dollars ($25,000) for the completion of all the services described in Exhibit A, and at the hourly rates specified therein, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not -to -exceed amount of One Hundred Thirty Two Thousand Seven Hundred and Twenty Five Dollars ($132,725). 3. Unless terminated earlier, the term of this Agreement will be remain as the Original Agreement and shall expire upon completion of services listed in the Original Agreement and Exhibit A. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment.
