REV: 11-02-2021 RL <br />AMENDMENT NO. 1 <br />TO AGREEMENT FOR SERVICES <br /> (Economic and Planning Systems, Inc.) <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of _______________ by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Economic and Planning <br />Systems, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services dated as of April 16, 2019, (the “Original Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No.1, including any terms and conditions of the attached Exhibit <br />“A”, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a flat-rate amount of Eleven Thousand Three <br />Hundred Dollars ($11,300) for the completion of all the services described in Exhibit “A”, <br />which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 1, the total amount payable under the Agreement <br />will be a flat-rate amount of Seventy-One Thousand One Hundred and Seventy Dollars <br />($71,170). <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />5. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br />6. If all Parties agree, electronic signatures may be used in place of original <br />signatures on this Amendment. Each Party intends to be bound by the signatures on the <br />electronic document, is aware that the other Parties will rely on the electronic signatures, <br />and hereby waives any defenses to the enforcement of the terms of this Amendment <br />based on the use of an electronic signature.
