shall at no time hold themselves out as employees or agents of City. Except as City may specify <br />in writing, Developer shall not have any authority to act as an agent of City or to bind City to any <br />obligation. <br />17.10 No Third Party Beneficiaries. Except as expressly set forth herein, nothing <br />contained in this Agreement is intended to or shall be deemed to confer upon any person, other <br />than the Parties and their respective successors and assigns, any rights or remedies hereunder. <br />17.11 Further Assurances. Developer and City each agree to undertake such other actions <br />as may reasonably be necessary to carry out the intent of this Agreement, including without <br />limitation, the execution of any additional documents that may be required to implement the intent <br />of this Agreement. <br />17.12 Authori . Each person executing this Agreement on behalf of a Party represents <br />and warrants that such person is duly and validly authorized to do so on behalf of the entity it <br />purports to bind. <br />17.13 Counterparts. This Agreement may be executed in one or more counterparts, each <br />of which shall be an original and all of which taken together shall constitute one instrument. <br />17.14 No Impairment of Lien.
