REV: 02-18-2022 RL AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES (Bay Area Paving Co., Inc.) This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of March 18, 2022, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Bay Area Paving Co., Inc., a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain General Services Agreement, dated as of March 18, 2019, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of March 17, 2020 (the “Original Agreement” and “Amendment No. 1” are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Contractor a not-to-exceed amount of One Million Five Hundred Ninety-One Thousand Three Hundred Fifty Dollars ($1,591,350) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of Three Million Eight Hundred Eighty Six Thousand Three Hundred Fifty Dollars ($3,886,350). 3. Unless terminated earlier, the term of this Amendment No. 2 will be a period of two years from the effective date of this Amendment No. 2. Including all amendments, through Amendment No. 2, the total term of this Agreement is five years from the Effective Date of this Agreement. 4. Contractor will complete all work described in Exhibit “A” by March 18, 2024, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 5. The Agreement is amended to adding the following Section 18, Defective Work; Warranties: ATTY/AGR.2022-Amend No. 2/Bay Area Paving Co., Inc. (Page 1 of 9)
