..._,-'" .,.-., III. CITY'S RESPONSIBILITIES The City shall: 1. The date of this agreement shall commence on July 1,2006 and shall conclude on June 30, 2007. 2. Return two executed original Agreements to the office of the County Superintendent no later than August 15,2006. 3. Agree to render Services that are defined in the attached Scope of Work (Attachment A), which is incorporated by this reference in accordance with this Agreement's terms and conditions. Kristen Anderson, the City's Child Care Coordinator, will provide Services on behalf of the City. 4. Perform the Services in City's own way as an independent contractor and in pursuit of City's independent contractor and in pursuit of City's independent calling and not as an employee of the County Superintendent. The person(s) used by City to provide services under this Agreement will not be considered employees of the County Superintendent for any purpose. 5. Provide quarterly itemized invoices for actual expenditures necessary to complete attached Scope of Work (Attachment A) and Budget (Attachment B). In the event that the County Superintendent makes any advance payments, Delegate Agency agrees to refund any amounts in excess of the amount owed by the County Superintendent at the time of contract termination. 6. Provide progress reports on activities to the County Superintendent. Progress reports will be due upon the following schedule: . December 31, 2006 (Mid Year Report) . March 31, 2007 (Annual Review) . June 30, 2007 (End of Year) 7. Attend and participate in quarterly meetings convened by PFA or First 5 SMC of participating subcontractors and Partners. 8. Reserve the right to terminate this Agreement for any material breach of this Agreement by the County Superintendent by using the following procedure. If Delegate Agency believes the County Superintendent has materially breached this Agreement, it shall provide written notice to the County Superintendent specifically indicating the basis for the material breach. The County Superintendent shall have 30 days from receipt from the written notice to cure such breach. If, after 30 days the County Superintendent fails to cure the breach, the Delegate Agency shall provide 30 days written notice to terminate the contract. 9. Shall not commence work or be required to commence work under this Agreement until all insurance required under Paragraph 6 (Insurance) of Attachment C (Master Agreement between the County Superintendent and the First Five San Mateo County) has been obtained.
