<br /> muniapal oorporafron of ttte State of Cal'�fomia,hereinafter referred to as"CtTY".
<br /> In consideratian o#the m�tual oovenants hereinafter set forth, Supplier and City agree as
<br /> fofbws:
<br /> I. MATERIALS
<br /> A. Supplier shall pravide alf Materials specified in the Contract Documents, in
<br /> a+ccarclance with the Speafications, Standards, Detaits, and all other terms and
<br /> c�nditions of the Cantract E�a�uments.
<br /> U. CONTRACT SUM
<br /> A. City shati pay the Supplier as the "Contract Sum" for provision of Materials in
<br /> accordance with the Contrac� Documenfs, as the amount of not-to-excesd One
<br /> Hundred Seventy Five Thousand �our Hundred and T'hirty Three Do{►ars
<br /> {$175,433.U0), based on the suppiiers bid of Two Hundred Twenty Eight
<br /> Thousand One Hundred Twenty Eight doflars ($228,128.00), computed in
<br /> accordance with Supplier's Accepted Proposal dated, March 27, 2006, which
<br /> Proposai is incaparated herein by reference thereto as if fuliy set forth. The
<br /> cflntract period cavers three (3j fiscal years and the subsequent annual contrad
<br /> amount will be determined
<br /> B. The Contract Sum is ali indusive and indudes aN Mat�riats; alt federal, state, and
<br /> k�cal taxes an materia#s and equipment, and labor furnished by Suppller, its
<br /> subcontractors, subconsultant�, architechs, engineers, and vendors or atherwise
<br /> arisi»g out of Supplier's provisian of the Materiais, indudfng any increases in any
<br /> such taxes during the term of this Agreement; and any duties, fees, and royaities
<br /> imposed with respect to any materials and equipment, tabor or services. The taxes
<br /> covered hereby indude (but are not limited ta) occxipational, sales, use, excise,
<br /> unemplayment, FICA, and inoome taxes, customs, duties, and any and att other
<br /> taxes on any item or service that is part of the Woric, whether such taxes are
<br /> normally included in the prioe of such item or service ar are normalty stated
<br /> separately. Notwithstanding the foregoing, each party shafl bear such state or local
<br /> inventory, real property, personai property or fixtures taxes as may be property
<br /> assessed against it by applicable taxing authorities.
<br /> 111. CONTRACT TIME AND MATERIAL AVAlLABtLfTY
