Tree Care Ca., whose place of business is a# 2207 San Pabio Ave, Berkeley, <br /> Califarnia 94702 (hereinafter called "CONTRACTOR"), and the Cify of Redwood Ciry, a charter <br /> city and municipat corporation of tlte State of Caiifomia (herelnafter referred to as"ClTY"}. <br /> !n consideration af the mutual covenants hereinafter set farth, Canfractor and City agree <br /> as fotlows: <br /> !. WORK <br /> A. Contracfor shail comple#e all Work specified in the Contract Documents, in <br /> accordance with the Specifications, Standards, Detaits, and ail other terms and <br /> conditions of the Contract Documents. <br /> tt. CONTRACT SUM <br /> A. City shall pay the Confractor as the "Contract Sum" for campletion of Work in <br /> accordance with the Contract Documents, as the amount of Twa Hundred Eighteen <br /> thousand Five Hundred Minety five doNars ($218.595.04?, computed in accordance <br /> with Contractor's Accepted Proposal dated, September 7, 2005, whict� Praposal is <br /> incorporafed fierein by reference thereto as if fuf(y set forfh. The contract perioti <br /> covers five (5) years and th� subsequent annuaf confract amount will be <br /> determined <br /> B. The Contract Sum is alt inclusive and includes aft Woric; alt fecfieral, state, and local <br /> taxes on materia4s and equipment, and Iabor fumfshed by Contractor, its <br /> subcantractors, subconsuttants, architects, ,engineers, and vendors or ofherwise <br /> arising out af Contractor's pertormance of the Work, including any increases in any <br /> such taxes during the term af this Agreement; and any duties, fees, and royalties <br /> imposed with respec#to any maferiafs and eguipment, labor or services. The taxes <br /> covered hereby include (but are not fimited to} occupatianal, saies, use, excise, <br /> �nemptoyment, FICA, and incame taxes, customs, duties, and any and all other <br /> taxes on any item or service that is part of the Work, whether such taxes are <br /> normal{y incfuded rn ihe price of such item or service ar are narma!(y stafied <br /> separaEely.
