6.3B <br /> Page 5 <br /> Downtown Underground Pubiic Paricing Faciii#y, dated October 23, 2003, as amended <br /> to date; (xi} the Construction and Reirnbursement Agreemenfi for pown#own <br /> Retail/Cinema Streetscape, dated October 26, 2U0�, as amended to date; and (iii) the <br /> Reciprocal Easemerrt and Maintenance Agreement, dated Juty 12, 2004, as amended <br /> to date (all collectivety referred to herein as the :Relafed Agreemen#s'); and <br /> WHEREAS, as a condition to acquiring an interest in OBI, RAR2 has requested <br /> the City's approvai of RAR2 as a member of OBi. <br /> NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CiTY 4F <br /> REDWOOD CITY AS FOLLOWS: <br /> Section 1. The City Council hereby approves RAR2 as the managing member <br /> of OBI and further approves the Assignment and Assumption Agreement between the <br /> City, Agency, OBRC and OBI in substantiatly the form on fiie with the Ci#y Clerk, which <br /> Assignment and Assumption Agreement is incorporated herein by reference. The City <br /> Manager and City Clerk are hereby authorized and directed to execute the Assignment <br /> and Assumption Agreemerrt on behalf of the Ci#y, subject to any minor clarifying and <br /> technical changes as may be approved by City Attorney.
