<br />EXHIBIT A <br />SCOPE OF WORK <br /> <br />This Scope of Work is incorporated into and made a part of the Agreement between the City of Redwood <br />City (the "City"), California and Digital Payment Technologies (the "Company"). Unless otherwise <br />defined herein, capitalized terms in this Scope of Work shall have the same meanings as are assigned to <br />such terms in the main body of the Agreement. Each reference to the Agreement includes this Statement <br />of Work and all other Exhibits to the Agreement. <br /> <br />1. GENERAL DESCRIPTION OF COMPANY RESPONSIBILITIES. <br /> <br />The Company shall supply, configure, test and commission Parking Pay Stations equipment that <br />fully comply with the Specifications and Requirements. The Company shall furnish all equipment, <br />services and supplies necessary to achieve full compliance with the Specifications and Requirements. <br />The fact that a particular service, item of equipment or material is not listed does not release the <br />Company of its obligation to provide it, if such service, equipment or material is necessary to design, <br />supply, configure, test and commission the System so that it fully complies with the Specifications <br />and Requirements. Without limiting or shifting to the City the obligations of the Company which are <br />acknowledged in the preceding two sentences, the Company shall provide to the City the specific <br />system components and services which are itemized in Exhibit C to this Agreement, or any newer <br />versions that the Company is required to provide under this Agreement. In the event any of the <br />System components or services listed on Exhibit C (or any newer version that the Company is <br />required to provide) are insufficient for the Company to deliver to the City a System which fully <br />complies with the Specifications and Requirements, the Company shall immediately provide the City <br />with written notice (a "Deficiency Notice"): (i) describing the deficient components and/or services <br />and the probable impact on the System; and (ii) proposing such other or additional components or <br />services as are necessary for the System to meet all Specifications and Requirements (the "Substitute <br />Components/Services"). Substitute Components/Services must be equal or better in all respects to the <br />deficient components/Services. The City shall within fifteen (15) days after receipt of a Deficiency <br />Notice, give the Company written notice to either proceed with the current components and/or <br />services, or to proceed with the Substitute Components and Services. In the event the City elects to <br />proceed with the Substitute Components and Services, the Company shall provide the Substitute <br />Components and Services at no additional charge to the City. In the event the City elects to proceed <br />with the current components and/or Services, the Company shall not be responsible for Defects <br />which are solely attributable to the deficiency identified by the Company in the Deficiency Notice <br />with respect to such components and services. <br /> <br />2. Training. <br />The Company will provide full training on the new system at the time of installation or as mutually <br />agreed upon between the Company and the City. <br /> <br />3. Reporting and Communication. <br />The City must communicate with the designated Company Project Manager on a daily basis during <br />and implementation of the new system. The City must provide updated status reports that include <br />any and all problems, delays, substitutions or concerns to the Company Project Manager. <br />
