<br />5. COMPENSATION. <br />The City agrees to pay the Company for the Products and Services in an amount not to exceed <br />$402,956.25 (US) for the Parking Pay Stations including all materials and training provided, <br />pursuant to the pricing itemization detailed in Exhibit C. No other compensation for the Services <br />will be allowed except for items covered by subsequent amendments to this Agreement. The <br />City agrees to purchase from the Company the Extended Warranty and Spare Parts and Paper <br />itemized in Exhibit E. <br /> <br />6. BILLING. <br />Each invoice sent by the Company shall detail all Services and Deliverables performed and <br />delivered, and shall include hours performed, hourly rates, and related activities and costs that <br />are necessary to entitle the Company to the requested payment under the terms of this <br />Agreement. The Company shall mail all invoices to: <br /> <br />City of Redwood City <br />Attn: Daniel Zack <br />1017 Middlefield Road <br />Redwood City, CA 94063 <br /> <br />The City will pay all accurate, properly submitted, uncontested invoices within thirty (30) days of <br />receipt. Proposals may include an incentive discount for early payment. The City will self-assess <br />any state or local sales taxes and confirm same to the Company. <br /> <br />7. LICENSING. <br />The Company shall provide certified copies of all valid licenses and certificates required for <br />performance of the Services on an annual basis. The certified copies, if any, shall be delivered to <br />the City no later than thirty (30) days after the Effective Date. Current certified copies of licenses <br />and certificates shall be provided promptly to the City at any time during the term of the <br />Agreement. <br /> <br />8. DELIVERY OF SERVICES. <br />The Company will generally adhere to the schedule set forth in Exhibit "A"; provided that, City <br />will grant reasonable extensions of time for the performance of such services occasioned by <br />unusually lengthy governmental reviews of Company's work product or other unavoidable <br />delays occasioned by circumstances; provided, further, that such unavoidable delay will not <br />include strikes, lockouts, work stoppages, or other labor disturbances conducted by or on behalf <br />of, Company's officers or employees. Additional Services may be added by amendment during <br />the term of the Agreement. <br /> <br />The Company will provide the Services described in Exhibit A, and products meeting the <br />Technical Specifications as set forth in Exhibit B at prices outlined in Exhibit C, along with spare <br />parts and extended warranty services as set out in Exhibit E.
