REV: 04-14-2022 RL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES Economic & Planning Systems, Inc. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of ______________, 2022 by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Economic & Planning Systems, Inc. (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Professional Services, dated as of February 8, 2019, (the “Original Agreement”) . B. While the Original Agreement expired on February 8, 2022, the Parties continued to work together to ensure delivery of Services as that term is defined in the Original Agreement. The Parties now wish to renew implementation of the Original Agreement as amended by this Amendment No. 1, and authorize payment to Consultant for any Services rendered for the period between February 8, 2022 and the effective date of this Agreement No. 1. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Unless terminated earlier, the term of this Amendment No. 1 will be a period of one year from the effective date of this Amendment No. 1. Including this Amendment No.1, the total term of this Agreement is four years and 2 months from the Effective Date of the Original Agreement. 2. All other provisions of the Original Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Original Agreement will include coverage for this Amendment No. 1. 4. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 1.
