EXHIBIT D <br /> <br /> RESTRICTIVE COVENANTS <br /> <br /> 1. Uses of ProperW. The City Parcel shall not be used for any hotel or lodging <br />purposes without the consent of the Owner of the Property (the "Property Owner"); provided, <br />however, that the City Parcel may be used for a bed and breakfast operation that the Property <br />Owner, in its reasonable discretion, determines is not competitive with the business operations <br />then being conducted on the Property. The use limitations set forth in this Section 1 shall <br />terminate 20 years after the date this Declaration is filed for record in the real property records of <br />San Mateo County, California. From and after such 20 year period, the City Parcel may be used <br />for any purpose permitted under any statutes, codes, ordinances or zoning classification <br />applicable to the City Parcel. <br /> <br /> 2. Prohibited Uses. No portion of the City Parcel shall be used in any manner which <br />violates the applicable zoning and other ordinances and regulations of the City of Redwood City, <br />or which is inconsistent with the provision of this Declaration. In addition, no activity or use <br />shall be permitted on or with respect to any part of the City Parcel which is obnoxious to or out <br />of harmony with an extended stay hotel of the highest quality, including, but not limited to any <br />facility or business which is primarily engaged in the selling of obscene or pornographic <br />material, bars or restaurants featuring topless or nude performers, or businesses which operate as <br />a massage parlor or nude modeling. <br /> <br />17996.00002',,B GLIB t\1061493.4 4 <br /> <br /> <br />
