ORIGINAL <br /> <br /> FIRST AMENDMENT TO GROUND LEASE <br /> This First Amendment to Ground Lease made and entered into this f'/]J'd'aof F bru <br /> ~ y e ary, <br /> <br /> 2002 by and between the City of Redwood City, a municipal corporation of the State of <br /> California ("Lessor") and Shores Childcare, LLC, a California limited liability company <br /> ("Lessee"), bears the following recitals: <br /> <br />A. On or about April 17, 2001 the parties hereto entered into a Ground Lease covering <br /> <br />certain real property in the City of Redwood City as described therein ("the Lease"). <br /> <br />B. The parties now desire to amend the Lease as provided herein. <br /> <br /> NOW THEREFORE LESSOR AND !.F. SSEE AGREE AS FOLLOWS: <br /> <br /> 1. The first paragraph of paragraph 5 of the lease is hereby amended in its entirety to <br /> <br />read as follows: <br /> <br /> "5. PURPOSE. Pursuant to the provisions of paragraph 7, <br /> Lessee shall construct upon the Leased Premises a two (2) story <br /> structure (the "Building") containing approximately 17,000 to <br /> 18,000 net useable square feet ("nusf"). Approximately 10,000 <br /> nrsf shall be devoted to the operation and maintenance of a <br /> childcare facility legally capable of serving at least one hundred <br /> and fifty (150) children. Lessor understands and agrees that <br /> Lessee will sublease the childcare facility to a third party <br /> experienced in the operation of such facilities. The remaining nusf <br /> of the Building may be used for any legally permitted use which is <br /> compatible with the operation of the childcare facility, and Lessee <br /> shall have the right to enter into subleases for such purpose. <br /> Lessor shall have the right to approve non-childcare users, such <br /> approval not to be unreasonably withheld, applying compatibility <br /> standards such as safety and security. If during the initial term of <br /> the Lease, Lessee receives rent in any lease year (as defined below) <br /> from the non-childcare space in excess of $42.00 multiplied by the <br /> number of rentable square feet, triple net (said amount being <br /> referred to herein as the "Threshold"), fifty percent (50%) of such <br /> excess shall be paid to Lessor as additional rent.
