<br />DES:d;l 10/l6/89 (#020/26) <br /> <br />,!'-. r , ~ ~, . <br />U 1'\11.11 1'1 n i.. <br /> <br />RES 0 L UTI 0 N <br /> <br />NO. 1.ll..L9 <br /> <br />NOV 13 1989 <br /> <br />RESOLUTION ENDORSING FORMATION OF REDWOOD CITY <br />INTERNATIONAL CORPORATION FOR PURPOSES OF CARRYING OUT <br />COMMUNITY PROMOTION AND ADVANCING INTERNATIONAL <br />CULTURAL, EDUCATIONAL, AND SOCIAL EXCHANGES <br /> <br />WHEREAS, this Council has reviewed a proposal for the <br /> <br />formation of Redwood City International Corporation, to be <br /> <br />organized under the Nonprofit Public Benefit Corporation Law of <br /> <br />the State of California for public and charitable purposes; and <br /> <br />WHEREAS, this Council has also reviewed the proposed <br /> <br />Articles of Incorporation and By-laws of said Corporation, copies <br /> <br />of which are attached hereto marked Exhibit "A" and by this <br /> <br />reference incorporated herein; and <br /> <br />WHEREAS, <br /> <br />the public purposes to be served by said <br /> <br />corporation <br /> <br />include <br /> <br />international <br /> <br />promotion <br /> <br />of <br /> <br />community <br /> <br />interests of the City of Redwood City and the exchange of <br /> <br />cultural, educational, and social information and activities with <br /> <br />communities in foreign nations having similar interests and <br /> <br />community characteristics with those of the City of Redwood City; <br /> <br />and <br /> <br />WHEREAS, the proposed By-laws of the corporation provide <br /> <br />that the Mayor of the City of Redwood City shall be either a <br /> <br />voting member of the Board of Directors, or the Mayor may appoint <br /> <br />a resident of the City of Redwood City to serve in his or her <br /> <br />stead on the Board, in which case the Mayor shall be an ex- <br /> <br />officio non-voting member of the Board; and <br /> <br />WHEREAS, this Council desires to endorse the formation of <br /> <br />the corporation and to authorize and direct the Mayor to serve or <br />
