Exhibit "A" DES lk lO/24/88 (#36) DE ~jk lO/l6/89R ARTICLES OF INCORPORATION OF REDWOOD CITY INTERNATIONAL CORPORATION A CALIFORNIA NONPROFIT PUBLIC BENEFIT CORPORATION 1. The name of this corporation is Redwood City International Corporation. II. This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public and charitable purposes. The public purposes include the exchange of cultural, educational, and social information and activities with communities in foreign nations having similar interests and community characteristics with those of the City of Redwood City, California and the international promotion of the community interests of said City of Redwood City. This corporation is organized exclusively for charitable and educational purposes within the meaning of Section 50l(c) (3) of the Internal Revenue Code of 1954 (26 U.S.C. ~50l (c) (3)) or the corresponding provision of any future United States internal revenue law. Notwi thstanding any of the provisions of these Articles, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this corporation, and the corporation shall not carryon any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 50l (c) (3) of the In_ternal Revenue Code of 1954 or the corresponding provision of. any future United States internal revenue law, or (b) by a corporation, contributions to which are deductible under Section 170 (c) (2) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States internal revenue law.
