<br />DES:"'ik lO/24/88 (#36) <br />DEf jk lO/16/89R <br /> <br />shall not, except to an insubstantial degree, engage in any <br />activities or exercise any powers that are not in <br />furtherance of the purposes of this corporation, and the <br />corporation shall not carryon any other activities not <br />permitted to be carried on (a) by a corporation exempt from <br />federal income tax under Section 501(c) (3) of the Internal <br />Revenue Code of 1954 or the corresponding provision of any <br />future United States internal revenue law, or (b) by a <br />corporation, contributions to which are deductible under <br />Section 170 (c) (2) of the Internal Revenue Code of 1954 or <br />the corresponding provision of any future United States <br />internal revenue law." <br /> <br />Section 3.02. Specific Purposes. The Board shall establish <br />such committees and subcommittees as it deems appropriate or <br />necessary comprised of members of the corporation or other <br />community leaders to promote and implement the general purposes <br />of the corporation, including, but not limited to the program <br />obj ectives of Sister Cities International, and expanding <br />membership of the corporation, cultural exchanges, fund raising, <br />providing community information, and any other purpose within the <br />general purposes of the corporation. <br /> <br />ARTICLE IV <br /> <br />~'lembers <br /> <br />Section 4.01. Membership. Membership in the corporation <br />shall be open to any person of good character with a reasonable <br />desire and willingness to promote and foster the purposes of this <br />corporation. Corporate membership shall be conditioned upon <br />payment of an annual membership fee based upon categories of <br />membership hereinafter established. The initial annual <br />membership fees for each category of membership are hereinafter <br />set forth; provided, however, that the Board may revise and amend <br />said fees from time to time, as the Board deems appropriate by <br />motion duly made and carried without amendment of the By-Laws. <br />Each member shall have one vote, except associate members, who <br />shall be non-voting members, and honorary members, whose voting <br />entitlement shall be determined by the Board. In all instances <br />corporate membership shall be subject to Board approval. <br /> <br />Categories of membership and the initial annual dues for <br />each such category shall be as follows: <br /> <br />Membership Category <br /> <br />Annual Dues <br /> <br />1. <br /> <br />Corporate, large <br />(101 or more employees) <br /> <br />$500/year <br />(voting) <br /> <br />2. <br /> <br />Corporate, small <br /> <br />$250/year <br /> <br />2 <br /> <br />11179 <br />
