<br />Agreement, the City does not admit any allegation made by the Adult Bookstore <br /> <br />-- <br />concerning the validity of Article 27. <br />5. Non-transferability of Agreement. The rights granted to the Adult <br />Bookstore and David Sturman pursuant to sections 1,2 and 3 of this Agreement shall be <br />non-transferable. Should there be a change in control or ownership of the Adult <br />Bookstore, this Agreement, except sections 3(f), 5, 6, 7 and 9, shall terminate. The <br />parties recognize that this Agreement is related to the individual and specific economic <br />investment the Adult Bookstore and David Sturman have made in the business at <br /> <br />739 El Camino Real up to the effective date of this Agreement and any rights granted to <br />the Adult Bookstore or David Sturman pursuant to this Agreement do not run with the <br />land or the building at 739 EI Camino Real, the owner of that property, or the Adult <br />Bookstore ifthere is a change in ownership or control of the Adult Bookstore. <br />6. Relocation. lfthe Adult Bookstore relocates at any time within the <br />City, it shall relocate to a permissible location under current Article 27 or as it is later <br />amended. Neither the Adult Bookstore nor David Sturman shall be entitled to any <br /> <br />relocation assistance from the City, and waive any right to receive any moving or <br /> <br />relocation costs from the City in locating to a location permitted by Article 27. <br />7. Release. <br /> <br />(a) In consideration of the terms and provisions oftbis <br />Agreement, the Adult Bookstore and David Sturman hereby forever release, waive, and <br />discharge the City and its employees, officers, elected and appointed officials, agents, <br />attorneys, divisions, subsidiaries, affiliates, successors, and each of them, in any and all <br />capacities, of and from any and all claims, demands, actions, causes of action, known or <br />unknown, suspected or unsuspected, relating in any manner whatsoever to the validity of <br /> <br />Article 27, in its current or subsequent form, or the application of Article 27, in its current <br /> <br />or subsequent [OIm, to the Adult Bookstore. Further, the Adult Bookstore and David <br /> <br />Sturman agree not to pursue any claim or defense that Article 27, in its current or <br /> <br />7 <br />
