<br />6.30 <br />Page 19 <br /> <br />III. CONCLUSIONS <br /> <br />Based on the foregoing evaluation, the following conclusions are reached: <br /> <br />(1) Astound Broadband. LLC, with the resources of its parent, <br />Wave Division Holdings, LLC, appears to be legally qualified <br />to acquire and operate the cable system in the SAMCA T <br />communities. The financial qualifications may be acceptable <br />if certain assurances can be provided as part of the transfer <br />agreement. <br /> <br />(2) The SAMCA T communities have 120-days from the date the <br />completed Form 394 was submitted to act on the transfer <br />request, or the approval is deemed to have been granted. If <br />the Forms were received on September 20,2006, the <br />deadline for taking action is January 18, 2007. <br /> <br />(3) Significant issues for the SAMCA T communities as part of <br />this process may include: <br /> <br />. The re-establishment of system construction <br />obligations that had been modified in 2004 in <br />response to the RCN Corp. bankruptcy. <br /> <br />. The establishment of a date specific for the activation <br />of the two additional PEG access channels. <br /> <br />. A reservation of rights with regard to contingent <br />liabilities (e.g., the correct payment of franchise fees) <br />that may not be immediately apparent. <br /> <br />(4) The SAM CAT communities should be reimbursed for their <br />costs in processing the transfer application. . <br /> <br />15 <br />
