Parcel in an amount and on terms and conditions acceptable to IAC in IAC's sole and absolute <br /> discretion. <br /> F. IAC shall have obtained all necessary permits and approvals from third party <br /> jurisdictions necessary to construct the IAC Project, including, without limitation, adequate <br /> sewer and water for the Acquisition Parcel, or shall have obtained evidence satisfactory to the <br /> Agency and IAC of IAC's ability to obtain such permits and approvals. <br /> G. All rights of way related to the Acquisition Pazcel shall have been abandoned <br /> by the City where such is contemplated by this Agreement. <br /> H. The Agency shall have timely tendered conveyance of title or possession of <br /> the Acquisition Parcel on the terms and conditions set forth in this Agreement. <br /> I. IAC shall have conducted its Site Feasibility Assessment and approved the <br /> condition of the Acquisition Pazcel, including, without limitation, any conditions which may be <br /> present thereon, as provided in Section 303, and notified the Agency of its Election to Proceed. <br /> J. IAC shall have approved the budgets for all costs for which IAC is <br /> responsible under this Agreement. <br /> §403 IAC's Duties <br /> IAC shall pay in Escrow or deliver to the Escrow Agent the following fees, charges, costs <br /> and documents related to the Acquisition Pazcels promptly after the Escrow Agent has notified <br /> IAC of the amount of such fees, chazges and costs, but not earlier than ten(10)days prior to the <br /> scheduled date for the close of Escrow as set forth in the Schedule of Performance: <br /> A. The escrow fee; <br /> B. The premium for the title insurance policy as set forth in Section 314 of this <br /> Agreement; <br /> C. Recording fees; <br /> D. Notary fees; <br /> E. Ad valorem taxes and assessments and possessory interest taxes, if any, upon <br /> the Acquisition Parcels, to the extent IAC is responsible for the payment thereof in accordance <br /> with the provisions of Section 510; and <br /> — F. Any transfer tax. _ <br /> §404 Agency's Duties <br /> The Agency shall in accordance with this Agreement timely and properly execute, <br /> acknowledge and deliver a Grant Deed or Grant Deeds in substantially the form established in <br /> Section 312 of this Agreement conveying to IAC title to the Acquisition Parcels in the condition <br /> required by Section 313 of this Agreement, together with an estoppel certificate certifying that <br /> 19 <br /> 9627:83976.25 <br />
