SECTION 4. The Official Statement, in substantially the form prese ted to this City, is hereby approved, and the City Manager is hereby authoriz d and directed to execute and attest the same on behalf of the City, in substa tially the form now before the City, but with such changes, modifications, additions or deletions therein as shall seem necessary, desirable or appropriate to the City Attorney or Bond Counsel, his execution thereof to constitute con lusive evidence of his approval of any and all changes, modifications, additi ns or deletions therein from the form and content of the Official Statement now before this City, and Rauscher Pierce Refsnes, Inc. (the "Underwriter") is urther authorized to distribute the official statement in preliminary form to po ential purchasers of bonds to be issued by the Redwood City Public Faciliti sand Infrastructure Authority (the "Bonds") and is directed to deliver copies of the Official Statement in final form to all actual purchasers of the Bonds. SECTION 5. The Mayor, City Manager, Finance Director, City Clerk, their designees and other appropriate officers of the City are hereby authori ed to execute and deliver for and on behalf of the City, any and all additional certificates, documents, opinions or other papers and perform all other cts as they may deem necessary or appropriate in order to implement and carry ut the intent and purposes of this resolution.
