SECTION 7 TRAINING <br /> <br /> If training is included in this Agreement, Customer agrees to notify Motorola <br /> immediately ifa date change for a scheduled training program is required. A charge will <br /> <br /> · apply to a training program rescheduled by-Customer less than thirty (30) days prior to its <br /> scheduled start date. <br /> <br />SECTION 8 SYSTEM ACCEPTANCE <br /> <br /> A. Motorola will test the Communications System in accordance with the <br /> Acceptance Test Plan, as supplemented by any changes to the test plans or <br /> procedures as set forth in the approved Detailed Design Document. System <br /> acceptance will occur upon the successful completion of such testing and the <br /> successful completion of the 30 Day Burn In Period (described below) ("System <br /> Acceptance") at which time both parties shall promptly execute a certificate of <br /> system acceptance. If the Acceptance Test Plan includes separate tests for <br /> individual subsystems, both parties shall promptly execute certificates of <br /> subsystem acceptance upon the successful completion of testing of such <br /> subsystems. Minor omissions or variances in performance which do not <br /> materially affect the operation of the Communications System as a whole, <br /> referred to as "punch list items," will not postpone System Acceptance. Before the <br /> commencement of the ten (10) day audio test to be performed by Customer as <br /> described in Section 8.B below, Customer and Motorola will jointly prepare the <br /> punch list of such omissions and variances which Motorola will correct according <br /> to an agreed upon schedule. <br /> <br /> B. Within five (5) days of successful completion of the Coverage Acceptance Test, <br /> Customer will perform a ten (10) day audio test to verify the audio quali~y of the <br /> tmnked and mutual aid radio systems. Motorola shall have no responsibility <br /> concerning this ten (10) day audio quality test, although Motorola shall have the <br /> right to participate in it. This test will be limited to twenty (20) subscriber radio <br /> units. After Customer completes this ten (10) day audio test, it may choose one of <br /> three options: (1) execute a Change Order to have performed the Delivered <br /> Audio Quality (DAQ) test for the tmnked and/or mutual aid radio systems as <br /> described in Exhibit B at an additional price of up to $200,000, payable upon <br /> successful completion of the DAQ test; (2) define areas of concern resulting from <br /> the ten (10) day audio test and execute a Change Order for Motorola to address <br /> these concerns on a time and materials basis during the next sixty (60) days; or (3) <br /> take no further action as a result of the ten (10) day audio test. Successful <br /> completion of the Acceptance Test Plan will occur when the ten (10) day audio <br /> test is completed,, unless Customer elects option 1 to have the DAQ performed, in <br /> which case successful completion of the Acceptance Test Plan will occur when <br /> the DAQ is successfully completed. <br /> <br /> C. The 30 Day Bum In Period shall commence immediately after the successful <br /> completion of the Acceptance Test Plan but before the loading of the System <br /> begins.
