TAXES <br /> <br />11.1 In the event that a state or local tax is imposed upon the occupancy, use, or <br /> <br />possessory interest of or in the real property herein leased, the obligation for the payment of the tax will <br /> <br />be wholly that of the licensee. <br /> <br />12. ASSIGNMENT <br /> <br />12.1 Licensee may not assign its rights under the License, nor any interest therein, <br /> <br />and shall not encumber the Premises or any part thereof, nor any right or privilege appurtenant thereto, <br /> <br />nor allow or permit any other person(s) to occupy or use the Premises, or any portion thereof, without <br /> <br />licensor's prior written approval, which shall be in the sole discretion of licensor. Consent by Licensor to <br /> <br />one assignment, occupation or use by another person shall not be deemed to be consent to any <br /> <br />subsequent assignment, occupation or use by another person. <br /> <br />12.2.1 No assignment or encumbrance by Licensee shall release it from or in any way <br /> <br />alter any of Licensee's obligations under this License. Licensee may have the Premises delivered to a <br /> <br />subsidiary company of Licensee, but such arrangement shall in no way alter Licensee's responsibilities <br /> <br />hereunder with respect to the Premises. Any assignment, encumbrance, occupation or use contrary to <br /> <br />the provisions of this License shall be void and shall constitute breach of this License. Licensor may <br /> <br />assign any of its rights hereunder without notice to Licensee. <br /> <br />12.2.2 No assignment as approved by Licensor shall release Licensee of Licensee's <br /> <br />obligation or alter the primary liability of Licensee to pay the user fee and to perform all other obligations <br /> <br />by Licensee hereunder. The acceptance of user fees by Licensor from any other person shall not be <br /> <br />deemed to be a waiver by licensor of any provision hereof. In the event of default by any assignee of <br /> <br />Licensee or any successor of licensee in the performance of any of the terms hereof, Licensor may <br /> <br />proceed directly against licensee without the necessity of exhausting remedies against said assignee. <br /> <br />13. DEFAULTS BY LICENSE OR LICENSOR <br /> <br />13.1 Licensee shall be deemed in default if Licensee fails to cure any monetary <br /> <br />obligation within five (5) days after written notice from Licensor, and Licensee shall be deemed in default <br /> <br />ATTY I AGRJ2007.002 <br />012407 <br /> <br />9 <br />
