BOX 391 1017 MIDDLEFIELD ROAD REDWOOD CITY, CA 94064 FOURTH AMENDMENT TO DEVELOPMENT AGREEMENT This FOURTH AMENDMENT TO DEVELOPMENT AGREEMENT ("Agreement) is entered into as of this 20th day of June, 2002, by and between REDWOOD SHORES PROPERTIES, a California general partnership ("RSP" ), and the CITY OF REDWOOD CITY, a municipal corporation of the State of California ("City"), for itself and for and on behalf of the REDWOOD CITY GENERAL IMPROVEMENT DISTRICT NO. 1-64 ("District"). RECITALS A. Redwood Shores, Inc., a California corporation ("Redwood Shores"), the City and the District entered into that certain Development Agreement GID 1-64 dated June 16, 1982 ("Development Agreement"), which Development Agreement was recorded on July 8, 1982, as Document No. 82057195 in the Official Records of San Mateo, California ("Official Records"). The real property which is subject to the Development Agreement includes ali that real property owned by Redwood Shores as of the effective date of the Development Agreement and located within those areas designated as Redwood Peninsula Areas A through I, inclusive. The Development Agreement was amended by that certain Amendment to Development Agreement GID 1-64 between the City, the District and Redwood Shores dated May 22, 1984 and recorded September 17, 1984 as Document No. 84101669 in the Official Records (the "First Amendment"), was further amended by that certain Second Amendment to Development Agreement between the City, the District, Redwood Shores and RSP dated June 19, 1990 and recorded June 19, 1990 as Document No. 90082412 in the Official Records (the "Second Amendment"), and was further amended by that certain Third Amendment to Development Agreement between the City, the District and RSP dated September 3, 1997 and recorded on September 25, 1997 as Document No. 97122586 in the Official Records. (The Development Agreement as amended to date, including the First Amendment, the Second Amendment and the Third Amendment, is hereinafter collectively referred to as the "Amended Development Agreement.") Terms defined in the Amended Development Agreement shall have the same meaning when used in this Agreement unless otherwise indicated. B. The term of the Amended Development Agreement commenced on the effective date of the ordinance approving it (which was June 23, 1982) and continues until June 23, 2002 (the "Termination Date").
