Treatment and Disposal Fee. <br />Woodside shall pay City a Treatment and Disposal Fee (TDF) in a sum <br />determined as follows: <br /> <br />1. On February 1 and August 1 of each calendar year (the "February <br />Payment" and the "August Payment"), Woodside shall pay City, <br />commencing February 1, 1997, for the fiscal year ("FY") commencing <br />on July 1 preceding the February Payment (Le., commencing with the <br />FY 1996-1997, except as heretofore modified, one-half (1/2) of the <br />total payable by Woodside to eity for the TDF during the previous <br />FY. For information purposes, the TDF for the FY 1995-1996 was <br />$23,307.13, See Exhibit "C", attached hereto and incorporated by this <br />reference. Adjustments, if any, will be made February 1, 1998, <br />pursuant to Section IV, B.3, below. <br />2. As soon as possible after the close of the fiscal year, City will report <br />to Woodside both the amount eity paid to Authority pursuant to the <br />budget adopted by the Authority for the fiscal year in question and the <br />total volume of the City's sewage flow. City will report to Woodside <br />both the amount City paid to Authority for sewage treatment and the <br />total volume of City's sewage flow to the Authority, which sewage flow <br />will include the sewage flow which originated from TCSAD. In <br />addition, any variance in the flow meter accuracy pursuant to Section <br />IX of this Agreement shall be factored into calculating the sewage <br /> <br />RWCIWDSIFalr Oaks Agreement <br /> <br />6 <br />
