which are identified as belonging to Participating Owner. The following practices and procedures shall govern the services. (b) Daily Searches. Except for Holidays, Contractor shall provide daily searches of the Service Area for Abandoned Shopping Carts. Contractor shall perform said searches throughout the Service Area; provided, that said services shall not include the area shown in Exhibit "A" unless Participating Owner shall have notified City in writing of Participating Owner's election to include said area. (c) Receipt. Contractor shall obtain a receipt, signed by, or on behalf of, Participating Owner, listing the number of carts delivered to Participating Owner and the date of delivery. (d) Logs. Contractor shall prepare and maintain retrieval logs conforming to the delivery of retrieved Abandoned Shopping Carts to Participating Owner. (e) Production Summaries. Contractor shall, using the information contained in the aforementioned logs, prepare and maintain periodic production summaries on a weekly and monthly basis, which shall include the number of Shopping Carts retrieved for, and returned to, Participating Owner each day, week, and month for the reporting period. (f) Special Retrieval. Contractor shall provide at no cost to City or Participating Owner an initial search of the Service Area and retrieve therefrom all abandoned Shopping Cads. Contractor shall deliver all such Carts so retrieved in accordance with the foregoing procedures, except for claiming compensation. The Special Retrieval herein provided shall not include area outside the City's corporate limits as shown in Exhibit "A." 3. Compensation. (a) Rate. Participating Owner shall compensate City for the services rendered hereunder in an amount calculated upon the basis of Three and 50/100 Dollars ($3.50) per Abandoned Shopping Cart returned to Participating Owner by Contractor. Notwithstanding the foregoing, if, during the term or renewal term of this agreement the amount of compensation payable by City to Contractor under the Shopping Cart Retrieval Program is proposed to be changed, City shall give Participating Owner not less than thirty (30) days' prior notice of the effective date of such change. If Participating Owner agrees in writing to the revision, said revised amount shall govern the calculation of payments to be made by Participating Owner hereunder, and this agreement shall be deemed amended to that effect. If Participating Owner does not agree in writing to the revision, City may terminate this agreement, effectiVe thirty (30) days from the date of notice by City of such termination.
