14. Substitution of Contractor. City may, at City's discretion, substitute a <br />different contractor under the Retrieval Service Agreement for the Contractor serving <br />thereunder in effect upon the effective date hereof, or enter into a new Retrieval Service <br />Agreement. City shall give Participating Owner notice of such substitution or new <br />agreement not less than fifteen (15) days prior to the effective date thereof. If City shall, <br />for any reason, not enter into a Retrieval Service Agreement with a succeeding <br />Contractor, this agreement shall terminate and City shall so notify Participating Owner. <br />Upon such termination, Participating Owner shall become a non-Participating Owner <br />and shall comply with the provisions of Section 14.122 (Mandatory Plan) of the <br />Ordinance. Notwithstanding the provisions of Section 14.123 of the Ordinance, in such <br />event, Participating Owner shall, as a non-Participating Owner, submit the plan required <br />under Section 14.122 of said Ordinance within thirty (30) days of the date of termination. <br /> <br /> 15. Amendments, Supplements. This agreement may be amended or <br />supplemented to effectuate its purposes. Such amendments or supplements shall be <br />executed by the parties in the same manner as this agreement. <br /> <br /> 16. Governing Law. This agreement, its terms and conditions, and the <br />performance of the parties hereunder, shall be governed by the laws of the State of <br />California. <br /> <br /> 17. Attorney's Fees. If either party shall commence an action against the other <br />party arising out of or in connection with this agreement, the prevailing party shall be <br />entitled to have and recover from the losing party reasonable attorney's fees and costs <br />of suit. <br /> <br />F:AttyCD/Agmt/Agmt-519 - code-enforce-contract-4/15 ~) <br /> <br /> <br />
