14. Substitution of Contractor. City may, at City's discretion, substitute a different contractor under the Retrieval Service Agreement for the Contractor serving thereunder in effect upon the effective date hereof, or enter into a new Retrieval Service Agreement. City shall give Participating Owner notice of such substitution or new agreement not less than fifteen (15) days prior to the effective date thereof. If City shall, for any reason, not enter into a Retrieval Service Agreement with a succeeding Contractor, this agreement shall terminate and City shall so notify Participating Owner. Upon such termination, Participating Owner shall become a non-Participating Owner and shall comply with the provisions of Section 14.122 (Mandatory Plan) of the Ordinance. Notwithstanding the provisions of Section 14.123 of the Ordinance, in such event, Participating Owner shall, as a non-Participating Owner, submit the plan required under Section 14.122 of said Ordinance within thirty (30) days of the date of termination. 15. Amendments, Supplements. This agreement may be amended or supplemented to effectuate its purposes. Such amendments or supplements shall be executed by the parties in the same manner as this agreement. 16. Governing Law. This agreement, its terms and conditions, and the performance of the parties hereunder, shall be governed by the laws of the State of California. 17. Attorney's Fees. If either party shall commence an action against the other party arising out of or in connection with this agreement, the prevailing party shall be entitled to have and recover from the losing party reasonable attorney's fees and costs of suit.
