Section 9. Deve lopment Agreement. The proposed form of the Deve loper Agreement dated as of February 1, 1985 as presented to this meeting by and among the City, the Development and the Trustee, whereby the proceeds of the Bonds are to be loaned to the Developer for the purpose of financing the Project, is hereby approved and the Ci ty Manager and Ci ty Cl erk are hereby authori zed and di rected, for and in the name of the City, to execute the Developer Agreement in substantially the form hereby approved, with such changes therei n as the offi cer or offi cers executi ng the same may approve, such approval to be conclusively evidenced by the execution and delivery thereof. Section 10. Bond Purchase Agreement. The form of Bond Purchase Contract dated as February 1, 1985 as presented at thi s meeti ng by and among City, Boettcher and Company, Inc. and Deve 1 oper, and the sale of the Bonds pursuant thereto upon the prices, interest rates and other terms and conditions set forth therein is hereby approved and, subject to such approval, the City Manager and the Ci ty Cl erk are hereby authori zed and di rected to evidence the City's acceptance of the officer made by said Bond Purchase Agreement by executing and delivering said Bond Purchase Contract in said form with such changes therein as the officers executing the same may approve, such approval to be conclusively evidenced by the execution and delivery thereof. Section 11. Requisitions. The Housing Officer of the City, or his designee, or the City Manager, or his designee, are each hereby authorized and directed to execute one or more requisitions authorizing the designated trustee under the Indenture, to pay the cost of issuing the Bonds from the proceeds of the Bonds pursuant to the Indenture. Section 12. Mortgage Servicing Agreement. The proposed form of the Mortgage Servicing Agreement dated as of February 1, 1985 (the "Mortgage Servicing Agreement") presented at this meeting, and to be executed by the Trustee and BA Mortgage and International Realty Corporation, who is hereby approved as Servi cer (the "Servi cer"), is hereby approved in substanti ally the form presented, with such changes therein as the officers may approve, such approval to be conclusively evidenced by the closing of the bond transaction. Section 13. Other Acts. The officers of the City are hereby authorized and directed, jointly and severally, to do any and all things, to execute and deliver any and all documents, including but not limited to, a final Official Statement relating to the Bonds, which they may deem necessary or advisable in order to consummate the issuance, sale and delivery of the Bonds, or otherwise to effectuate the purposes of this Resolution, and such actions previously taken by such officers are hereby ratified and confirmed. 4
