12. Any and all notices, demands, invoices and written communication between the parties <br /> hereto shall be addressed as follows: <br /> <br /> City: Jon Lynch, City Engineer <br /> City of Redwood City <br /> P.O. Box 391 <br /> Redwood City, CA 94064 <br /> <br /> County: Lynda Green, Manager <br /> Real Property Services <br /> County Manager's Office <br /> County of San Mateo <br /> 455 County Center, 5th Floor <br /> Redwood City, CA 94063 <br /> <br /> Any such notices, demands, invoices, and written communication by mail shall be <br /> deemed to have been received by the addressee ninety-six (96) hours after deposit thereof <br /> in the United States mail, postage prepaid, first class and properly addressed as set forth <br /> above. <br /> <br />13. The following individuals shall be primarily responsible for the day-to-day management <br /> and oversight of the performance of this Agreement: <br /> <br /> For City: Jon Lynch, City Engineer <br /> <br /> For County: Lynda Green, Real Property Services Manager <br /> <br /> Should this designation change, the changing party shall notify the other party in writing. <br /> <br />14. This Agreement may be terminated by either party upon the giving of a written notice of <br /> temfination at least fifteen (15) days prior to the date of termination specified in said <br /> notice. In the event this Agreement is so terminated, County shall be compensated at <br /> County's applicable rates as set forth in Appendix "D" for costs incurred and services <br /> performed before County received notice of termination. In no event, however, shall <br /> County receive any more than the maximum specified in paragraph 7(A) above. <br /> <br />15. The County is required to comply with Title VI of the Civil Rights Act of 1964, as <br /> amended. Accordingly, Title 49, Code of Federal Regulations, Part 21 through Appendix <br /> H, and Title 23, C.F.R., Section 710.405(b) are made applicable to reference and are <br /> hereinafter considered a part of this Agreement. <br /> <br />16. The Services to be provided to the City, as set forth in this Agreement, shall be provided <br /> by the County as an independent contractor as defined in Labor Code 3353, under the <br /> control of the City as to the result of the work but not the means by which the result is <br /> accomplished, and nothing herein contained shall be construed to make the County an <br /> <br /> 5 of 6 <br /> <br /> <br />
