7A <br /> Page 5 <br /> AGREEMENT FOR SERVICES <br /> This Agreement is made and entered into as of the day o# , 2007 by and <br /> between the Clty of Redwood City hereinafter called "CITY" and Sun Ridge Systems, <br /> (nc. hereinafter called "VEN�OR". <br /> RECITALS <br /> This Agreement is er�tered into with reference to the foNowing facts and cirCumstances: <br /> 1. That CITY desires to engage VENDOR to provide computer software <br /> {"Sofiware"j render certain professional services in the C1TY; <br /> 2. That VENDOR is qualified to provide such senrices to the CITY and; <br /> 3. That the CITY has elected to engage the services of VENDOR upon the <br /> terms and conditions as hereinafter set forth. <br /> 3.1 Services. The services to be perFormed by VENDOR under this <br /> Agreement shall include those software and services set forth in Exhibit A, <br /> which is, by this reference, incorporated herein and made a part hereof as <br /> though it were ful{y set forth herein. <br /> Performance of the work spe�ified in said Exl�ibit is hereby made an <br /> obliga#ion of VENDOR under this Agreement, subject to any changes that <br /> may be made subsequently hereto upon the mutua! written agreement of <br /> the said parties. <br /> Where in conflic#, #he terms of this Agreement supersede and prevail over <br /> any terms set forth in Exhibit A. <br /> 3.2 Term; Termination. {a) The term o# this Agreement shall commence <br /> upon the date hereinabove written and shall expire upon completion of <br /> performance of services hereunder by VENDOR. <br /> 1 <br />
