<br />term unavailability, sick leave, or reasonable vacations provided that Vendor <br />notifies City in writing of any such temporary appointments. <br /> <br />7.2. City Project Manager. Within ten (10) days of the execution of this Agreement, <br />City shall designate in writing a single individual to act as City's project manager <br />(the "City Project Manager"). The City Project Manager shall be knowledgeable <br />regarding the Scope of Work and City's existing technology, including its <br />operating systems, software and hardware and shall have sufficient technological <br />experience so that the City Project Manager can serve as a resource and guide to <br />Vendor in the implementation and use of the System. The City Project Manager <br />shall ensure City's compliance with, and shall coordinate appropriate schedules in <br />connection with, City's obligations hereunder. City shall use its best efforts to <br />maintain the same City Project Manager for the duration of this Agreement. <br />However, City may change the individual designated hereunder by providing <br />Vendor with fifteen (15) days advance written notice designating the new <br />individual authorized to act as the City Project Manager. Notwithstanding the <br />foregoing, City has the right to appoint a temporary City Project Manager in <br />connection with short-term unavailability, sick leave, or reasonable vacations <br />provided that it notifies Vendor in writing of any such temporary appointments. <br /> <br />7.3. Project Manager Communication. The Vendor Project Manager and the City <br />Project Manager shall be accessible by telephone or by electronic pager <br />throughout the duration of this Agreement. Prior to cutover of the System, both <br />the Vendor Project Manager and the City Project Manager shall be available eight <br />(8) hours per day between 8:00 a.m. and 5 p.m. PDT, Monday - Friday (five (5) <br />days per week), excluding holidays and weekends. From time to time, it may be <br />necessary to adjust those hours to support specific project goals and objectives. <br />Such adjustments shall be made as agreed to by both parties. <br /> <br />7.4. Project Manager Replacement. If City should desire that Vendor replace its <br />Project Manager or any other personnel assigned to assist the project, such <br />request shall be made in writing, include City's basis for the request, and <br />delivered in writing to the City Project Manager. Vendor's compliance with such <br />requests shall not be unreasonably withheld. <br /> <br />8. News Releases <br />8.1. News releases and all other related information pertaining to this Agreement shall <br />not be made available to anyone by Vendor without the prior written approval of <br />City. <br /> <br />19 <br />
