<br />council, officers, boards commiSSions, agents, and employees (collectively, <br />"Indemnitees") against and from any and all claims, suits, actions of every name, kind <br />and description, which may be brought against Indemnitees, or any of them, by reason <br />of any injury to, or death of, any person (including corporations, partnerships and <br />associations) or damage suffered or sustained by any such person arising from, or <br />alleged to have arisen from, any act or omission to act, negligent or otherwise, of <br />Indemnitees under this Agreement. <br /> <br />7. Acts and Omissions of Executive Director. The acts and omissions of the <br />Executive Director or any other employees, agents or volunteers acting on behalf of <br />Redwood City 2020 shall not in any way be construed as the acts and omissions of the <br />City but shall be deemed as the acts and omissions of the Parties acting jointly. <br /> <br />8. Notices. Each <br />Party will notify the other immediately of any changes of address that would require any <br />notice or delivery to be directed to another address. <br /> <br />10. Discrimination and Harassment Prohibited. Each of the Parties will <br />comply with all applicable local, state and federal laws and regulations prohibiting <br />discrimination and harassment. <br /> <br />11. Termination. Any Party may withdraw from this Agreement by giving the <br />other Parties sixty (60) days prior written notice.
