<br />assigns. This Lease shall be governed by the laws of the State of California applicable to leases entered <br />into, and to be wholly performed, within the State and any suit or action initiated by either party shall be <br />brought in the County of San Mateo, California. The language of all parts of this Lease shall be construed <br />with its fair meaning and not strictly for or against the Lessor or Lessee. <br />19.09 Conditions to Effectiveness of Lease. The approval of the Redwood City Council <br />constitutes an express condition precedent to the effectiveness of this Lease. <br />19.10 Attorneys' Fees. If either party named herein brings an action to enforce the terms <br />hereof, or declare rights hereunder, the prevailing party in any such action, on trial or appeal, shall be <br />entitled to its reasonable attorneys' fees and court costs to be paid by the losing party. <br />19.11 Consent. Whenever under this Lease the consent or approval of either party is required, <br />or a determination must be made by either party, no such consent or approval shall be unreasonably <br />withheld or delayed and all such determinations shall be made on il reasonable basis and in a reasonable <br />manner. <br /> <br />19.12 Authority. Each individual executing this Lease on behalf of Lessee and Lessor <br /> <br />represents and warrants that he or she is duly authorized to execute and deliver this Lease on behalf of said <br /> <br />party. <br /> <br />19.13 Captions. The captions used herein are for convenience only and are not a part of this <br />Lease and do not in any way amplify the terms or provisions hereof. <br />19.14 Venue: Any controversy or claim arising out of or relating to this Agreement, or the <br />breach thereof, if brought to court shall be brought in the San Mateo County Superior Court or, if resolved <br />by arbitration, shall be arbitrated within San Mateo County. <br /> <br /> <br />19.15. Memorandum of Lease: A Memorandum of Lease is marked Exhibit "D" and is attached <br /> <br /> <br />hereto. Upon termination of the Lease for any reason, Lessee shall deliver a Quit Claim Deed in a <br /> <br /> <br />recordable form to Lessor.
