Exhibit E FY2011-12 through FY2013-14 Contract and Fee Schedule The City of Redwood City will continue its partnership in fumishing software support and helpdesk services to the City of East Palo Alto. The terms of this agreement will span three (3) fiscal years, 2011-2012 through 2013-2014, beginning July 1st, 2011, terminating on June 30, 2014. The City of East Palo Alto agrees to purchase 2,000 hours annually for each of the three years of this contract. The hourly rate during normal business hours for fiscal year 2011-12 shall be $140.55. Non-business hours, as defined in the original agreement, shall be billed at the time-and-one-half rate of the current hourly rate in effect at the time the work is performed. Non-business hours are hours worked at EPA's request in which the work is not performed during normal business hours so as to not interrupt normal operations. An example of a work performed during non-business hours would be to patch a server with the latest software release by the manufacturer. The following rate schedule applies during the first fiscal year of this agreement (July 1, 2011 through June 30, 2012. • Normal Business hours: $140.55 per hour • Non-business hours: $210.83 per hour • Emergency Calls: $210.83 per hour with a minimum of one hour billed The hourly rate of the purchased hours will increase over the immediately preceding year by no less than four (4%) percent, and no greater than six (6°k) percent. The exact amount of the increase will be determined annually by Redwood City using its standard rate calculation formula and then, if necessary, adjusted to fd within the rate increase ceiling (6%) and floor (4%). The effective date of the new rate will be July 1st of each fiscal year, lasting until June 30th of the same fiscal year. The total estimated value of the agreement is $281,100 (2,000 hours times 140.55 per hour).The total annual estimated amount shall be paid on a monthly basis in twelve (12) equal installments of $23,425. If East Palo Alto uses more than 2,000 hours during the period between July 1 and June 30 of any year, East Palo Alto shall pay Redwood City for the overage at the then-current rate. If East Palo Alto uses less than 2,000 hours during the period between July 1 and June 30 of any year, Redwood City shall refund the difference in amount paid by East Palo Alto and the actual amount due for the hours used.
