<br /> employees, licensees or invitees or at Lessee's direction, of Hazardous Material,
<br /> or by Lessee's failure to comply with any Hazardous Ma#erials Law, whether
<br /> knowingly or by strict liability. Lessee's indemnification obligations shali include,
<br /> without limitation, and wF�ether foreseeable cr unfcreseeabfe, afl costs of any
<br /> required or necessary Hazardous Ma#erials management pEan, investigation,
<br /> repairs, cleanup, or detoxification or decontamination af the Premises or Praject,
<br /> and the presence and impEementation of any cl�sure, remedia! action or other
<br /> required plans, and shall survive the expiration of or early termination of the
<br /> Lease Term. For purpases of the indemnity provided herein, any acts or
<br /> omissions of Lessee or its employees, agents, custamers, sublessees,
<br /> assignees, contractors or subcontractors of Lessee (whether or not they are
<br /> negfigent, intentional, willful or unlawfui} shall be strictly attrfbutabie ta Lessee.
<br /> 23. LESSEE'S BROKER COMMISSION
<br /> 23.'� In the event a lease is executed between Lessor and Lessee as to the Premises,
<br /> Lessor is not resqonsible for payment of any commission to any person. Any
<br /> payment of a commission is the sole responsibility of Lessee.
<br /> 24. RELOCA7[ON
<br /> 24.1 Lessee understands and acknowledges that, as an occupant, this Agreement or
<br /> any future lease agreement creates no rights under federal, stafe or local !aw ta
<br /> receive relocation benefiits or any advisory assistance upon #erminatian of any
<br /> current or future iease agreement. Lessee hereby waives and releases the
<br /> Lessor frnm any claims for relacation benefi#s or assistance upon termination of
<br /> any current or fu#ure lease agreement under federal, state, ar (ocal relocation
<br /> law.
<br /> 25. INDEMNIFfCATION
<br /> 25.1 Lessee shall protect, defend, indemnify and hold harmless the Lessor, its
<br /> respective Board members; afficers, employees; volunteers, cr�n#ractors and
<br /> agents from any and all acfiions, causes of action, claims, losses, expenses
<br /> (including reasonable attorney's fees and costs), or liability or clairns for
<br /> damages on account of damage of property or injury to or death of persons,
<br /> including Lessee or Lessee's empfayees, patrnns, agents, customers, business
<br /> invitees and/or any otf�er persons, or damage to proper�y of any kind whatsoever
<br /> and to whomsoever belonging, including Lessee or Lessee's employees and
<br /> patrans, agents, customers, business invitees and/or any other persans, fram
<br /> any cause resulting from the operations of, constructian by Lessee, and/or use of
<br /> any Agency area by Lessee nr Lessee's employees, patrons, agents, customers,
<br /> business invitees and/nr any other persons, except where caused by Lessar's
<br /> active negligence, sole negligence or willful misconduct.
<br /> 26. DUTY TO REPAIR OR RECONSTRUCT THE PREMIS�S
<br /> 26.1 in the event of a casua(ty such as fire, flood or earthquake, Lessor shali be under
<br /> no obfigation to repair or reconstruct the Lease Area or #he improvements to the
<br /> Lease Area.
<br /> 27. AUTHORITY
<br /> 27.1 All individuals executing this Agreement on behalf af the parties fo this
<br /> Agreemen# represent and warran�that they are authorized to execute and deliver
