5. PERFORMANCE STANDARDS. In performing services hereunder, City shall <br />adhere to the standards generally prevailing for the performance of expert consulting <br />services similar to those to be performed by City hereunder. <br />6. DOCUMENTS. All documents, plans and drawings, renderings, photographs, and <br />other papers, or copies thereof, as finally rendered, prepared by City pursuant to the terms of <br />this MOU, shall, upon preparation and delivery to Port, become the Property of Port. <br />7. SCHEDULE. City shall perform tasks within agreed-upon schedules, with specific <br />timelines and deliverables mutually agreed-upon, provided that Port shall grant reasonable <br />extensions of time for the performance of such services occasioned by governmental reviews <br />of City's work product or other unavoidable delays occasioned by circumstances beyond <br />City's control or as required by sound practices. <br />City acknowledges the importance to Port of the mutually agreed-upon schedules and <br />agrees to put forth its best professional efforts to perform its services under this MOU in a <br />manner consistent with that schedule. Port acknowledges, however, that City's performance <br />shall be governed by sound practices. <br />8. TERM; TERMINATION. (a) The term of this MOU shall commence on March 1 <br />2019 and shall expire February 28, 2022. The Port and City may extend the term of this <br />MOU for two (2) additional periods of one (1) year by letter, provided that any such letter <br />shall be executed prior to the expiration of the then -current period. (b) Either party may <br />terminate this MOU without cause by giving not less than thirty (30) days written notice <br />thereof. In the event of such termination, Port shall compensate City for services rendered, <br />and reimburse City for costs and expenses incurred, to the date of termination, calculated in <br />accordance with the provisions of Paragraph 2. In ascertaining the services actually rendered <br />to the date of termination, Port shall compensate and/or reimburse City for both completed <br />work and work in process of completion.
