6'A AJzree ent�orYruePoint Services City of Redwood City <br />PROFESSIONAL SERVICES AGREEMENT between CITY OF REDWOOD CITY and TRU EPOINT SOLUTIONS, <br />LLC. for the Purchase and Implementation of the TrueBill Customer Information System <br />This PROFESSIONAL SERVICES AGREEMENT, hereinafter referred to as "Agreement," is made and <br />entered into this day of , by and between the City of Redwood City, a <br />charter city and municipal corporation of the State of California ("CITY"), and TruePoint Solutions, LLC, a <br />California Limited Liability company ("Consultant"). <br />Whereas, CITY requires a Utility Billing Customer Information System in conjunction with its Utility <br />Billing System. <br />Whereas, the Consultant has demonstrated expertise in various aspects of Customer Information <br />Systems and Field Data Collection Software and is qualified to provide the professional services required by <br />CITY. <br />Whereas, CITY and Consultant desire to enter into a contract for the provision of professional services <br />for the License, Installation, and Annual Maintenance of TrueBill Software as delineated in the Scope of Work <br />attached hereto as Exhibit A, subject to the terms and conditions of this Agreement. <br />NOW THEREFORE, in consideration of the promises and covenants hereinafter contained, it is mutually agreed <br />as follows: <br />1.0 DEFINITIONS <br />1.1 "Customer Data" means all data created or in any way originating with Customer, and all data <br />that is the output of computer processing of or other electronic manipulation of any data that <br />was created by or in any way originated with the Customer, whether such data or output is <br />stored on the Customer hardware, Consultant hardware or exists in any system owned, <br />maintained or otherwise controlled by the Customer or by Consultant. "Customer Data" <br />includes information relating to a person that identifies the person by name and has any of the <br />following personally identifiable information: government -issued identification numbers (e.g., <br />Social Security, driver's license, passport); financial account information, including account <br />number, credit or debit card numbers; or Protected Health Information (PHI) relating to a <br />person. "Customer Data" further includes data other that is not subject to distribution to the <br />public as public information. It is deemed to be sensitive and confidential by the City because <br />it contains information that is exempt by statute, ordinance or administrative rule from access <br />by the general public as public information. <br />1.2 "Confidential Information" is defined in Section 5.0. <br />1.3 "Contract Officer" mean the representative of CITY authorized to act on its behalf with respect <br />to the work and services specified herein and make all decisions in connection therewith. The <br />City may provide updated contact information by written notice to Consultant at any time <br />during the Term. <br />14 "Data Breach" means the unauthorized access by a non -authorized persons that results in the <br />use, disclosure or theft of Customer Data. <br />1.5 "User Acceptance" means successful use of the Solution by City in a production environment <br />for a period of thirty (30) days of error free operation past the go live date. <br />REV: 04-23-19 PR <br />Rage 1 of 64 <br />ATTY/AGR.2019.106[TruePoint TrueBill Utility Billing System <br />13 <br />
