05/06/2019 <br />Permittee for City. <br />Permittee shall increase coverage limits upon written demand of City <br />provided that said increases are reasonable and justifiable by City. <br />D. Damage to Permittee Property. Permittee hereby waives any recovery of <br />damages against City (including its employees, officers, directors, agents, or <br />representatives) for loss or damage to any structures, tenant improvements and <br />betterments, fixtures, equipment, and any other personal property. <br />E. Cyber Liability Insurance. Permittee must carry Cyber Liability Insurance <br />with limits not less than $1,000,000 per claim. Coverage shall be sufficiently broad to <br />respond to the duties and obligations as is undertaken by Permittee in this Agreement <br />and under the PDD Permit and shall include, but not be limited to, claims involving <br />infringement of intellectual property, including but not limited to infringement of copyright, <br />trademark, trade dress, invasion of privacy violations, information theft, damage to or <br />destruction of electronic information, release of private information, alteration of electronic <br />information, extortion and network security. The policy shall provide coverage for breach <br />response costs as well as regulatory fines and penalties, as well as credit monitoring <br />expenses with limits sufficient to respond to these obligations. The policy shall provide <br />that the City and its officers, officials, employees, and agents shall be additional insureds, <br />and the policy shall be primary and non-contributory. <br />F. Other insurance provisions. The policies are to contain, or be endorsed to <br />contain the following provisions. <br />i. Additional Insured. City, its officers, agents, employees, and <br />volunteers are to be covered as an additional insured as respects: <br />Liability arising out of activities performed by or on behalf of <br />Permittee and operations of Permittee, premises owned, occupied, <br />or used by Permittee. The coverage shall contain no special <br />limitations on the scope or protection afforded to City, its officers, <br />officials, employees, agents, or volunteers. Except for worker's <br />compensation insurance, the policies mentioned in this subsection <br />shall name City as an additional insured and provide for thirty (30) <br />days prior notice to City of any cancellation or change in coverage. <br />Page 15 of 20 <br />ATTY/DOCS-RESOLUTIONS/2019/RESO.0042 CC RESO PDD PILOT PROGRAM RESO.
