Cloud Services Ordered CherryRoad has ordered the cloud services described above fordistribution tothe end useridentified above. B. TERMS AND FEES FOR ORDERED CLOUD SERVICES 1. Currency: All fees on this ordering document are in US Dollars. 2. Terms: All products and services listed on thisordering documentare provided by CherryRoad under, and subjectto, the terms of this ordering document, including the agreement and all documents referenced in this ordering document. You indicate your agreement to the terms of this ordering document, including the agreement, by signing this orderingdocument, and you represent that you have the authorityto bind the companyto whom this ordering document is addressed aboveto the terms ofthis ordering document and the agreement. Anyterms and conditions on your purchase order are void and have no legal effect. Forcloud services, you may not reduce the quantity of services purchased hereunder (e.g., user or record counts, storage, etc.), in whole or in part, during the services period set forth above. The services period forthe cloud services commences on the date stated in this ordering document. If no date is specified, then the "Cloud Services Start Date" for each cloud service will be the date that the end user is issued access that enables the end userto activate the end user's cloud services (the "Cloud Services Start Date"). Fees: The cloud services payment frequency applies to all cloud servicesfees and taxes. All feespayable to CherryRoad are due within 30 days from the invoice date. Once placed, your order is non -cancelable and the sums paid nonrefundable, except as otherwise provided hereinorintheagreement.Youwill pay any sales,value-addedor other similartaxes imposed by applicable law that CherryRoad must pay based on the cloud services you ordered, except for taxes based on CherryRoad's income. Unless, specifically stated otherwise, fees for cloud services listed in an order are exclusive of taxes and expenses. You agree notto disclose the terms ofthis ordering documentto any third party. Cloud Services Payment Frequency: Paymentfrequency is Annual in Advance 4. Offer Validity: This order is valid through 31 -MAY -2019 and shall become binding upon execution by you and acceptance by CherryRoad and Oracle. Data Center Region CherryRoad shall notifythe end userthatthe end user's services environment (as defined in the end usercloud services agreement) will reside in the data center region identified in the table above. Data Security for Cloud Services. During the term, CherryRoad will (i)ensure ISO/IEC 27001 compliance forthe Cloud Services infrastructure or equivalent certification; (ii) provide no less protection that is stated in the terms of the Data Processing Agreement for Oracle Cloud ServicesdatedJuly27, 2018, and the Oracle Corporate Security Practices effective May 15, 2018 ("Security Policies"); and (iii) report any data breach incidenttoYou and the City within the time frames setforth in the Security Policies.
