An item of Equipment that is covered by Attachment D-1 and that is not <br />functioning materially in accordance with the Specifications for such Equipment. <br />g. 'Documentation"- The associated user guide(s) for the CORE ASP Service and Equipment. <br />h. "Expiration Date"The date at which time the Agreement can be cancelled according to the <br />terms, or the anniversary of the Expiration date (one year from the Expiration Date) at which time <br />the Agreement can be cancelled according to the terms. <br />"Initial Agreement Term": Defined in Section 3.1 of the Agreement. <br />"Installation"- Customer's access to the CORE ASP Service or any component thereof and <br />completion of CORE's standard procedures for testing all components of the Equipment and <br />CORE ASP Service purchased and to which Customer subscribes, respectively, according to the <br />Agreement. <br />k. "Institutional Charges": Any revenue charged by the Customer, paid by Users, and received by <br />the CORE ASP Service for the benefit of the Customer. <br />"Specifications CORE's published specifications and the Documentation for the CORE ASP <br />Service or any component thereof, and any published specifications and documentation for any <br />Equipment, as applicable. <br />m. "Support The CORE ASP Service support services provided by CORE, as described in <br />Attachment D-1. <br />n. "Support Fees"The fees to be paid by Customer for Supplemental Services (as described in <br />Section 14, as identified in the CherryRoad order form as additional daily rates. <br />o. "System Configuration Requirements'`. As described in the recommended technical <br />configurations of Equipment and operating system software from which the CORE ASP Service <br />will be accessed. <br />p. "User Any individual or entity that makes payments to the Customer through the Business <br />Center ASP such as employees, retirees, parents, or vendors. <br />3. Permitted Uses. The rights granted herein permitthe Customer and Customer's Authorized Users: <br />(1) to have access to and to use the CORE ASP Service until the Agreement is terminated as set <br />forth therein; (2) to install and use at Customer's facilities such additional components of the iPayment <br />ASP as CORE may supply for purposes of enabling Customer to access the iPayment ASP Service <br />and to perform ancillary functions on-site, all as specified in the system specifications, guides and <br />final project specifications; and (3) to use the Documentation. <br />a. Customer and Customer's Authorized Users may use the CORE ASP Service only to access <br />Customer's own data and to fulfill Customer's internal information processing needs. Customer <br />agrees to abide by all applicable laws and regulations in connection with its use of the CORE ASP <br />Service. Customer may not sublicense, resell, publish, transmit, broadcast or otherwise distribute <br />all or any portion of the CORE ASP Service to any person or entity except as expressly set forth <br />herein, or use it to process the data of a third party. <br />b.
